3. Description of Services
Rai Nexus provides AI integration consulting and leadership development for organizations in Thailand. Services are structured as follows:
- AI for Tourism and Hospitality Consulting — a 3-week engagement delivering a phased AI implementation roadmap for hospitality businesses. Price: ฿6,100 THB.
- Intelligent Workflow Automation Platform — a 12-week engagement designing, deploying, integrating, and handing over a workflow automation system. Price: ฿19,800 THB.
- AI Leadership Roundtable Membership — an annual membership providing four facilitated roundtable sessions and eight advisory calls. Price: ฿23,000 THB per year.
Services are primarily available to organizations operating in Thailand. Service availability and scope modifications in specific circumstances will be communicated prior to engagement.
4. Engagement Agreements
Each consulting engagement is governed by a separate engagement agreement specifying scope, deliverables, timeline, pricing, and service-specific terms. In the event of conflict between these Terms and Conditions and an engagement agreement, the engagement agreement takes precedence for matters specific to that engagement.
5. User Responsibilities
As a user of this website and/or client of Rai Nexus, you agree to:
- Provide accurate, current, and complete information in all communications with Rai Nexus.
- Not use the website or our services for any unlawful purpose or in a way that may cause harm to Rai Nexus or third parties.
- Not attempt to gain unauthorized access to any part of the website or its underlying systems.
- Cooperate reasonably during consulting engagements, including providing timely access to relevant information and personnel as agreed in the engagement agreement.
- Treat any proprietary methodologies, frameworks, or confidential information shared by Rai Nexus during an engagement as confidential.
6. Prohibited Activities
The following uses of the website and our services are expressly prohibited:
- Reproducing, distributing, or creating derivative works from Rai Nexus content without written permission.
- Using automated tools to scrape, extract, or monitor website content.
- Misrepresenting your identity or organizational affiliation when engaging our services.
- Using deliverables from an engagement for purposes outside the agreed scope without prior written consent.
7. Intellectual Property
7.1 Rai Nexus Materials

7.2 Engagement Deliverables

7.3 Client Materials
Materials, data, and systems provided by clients during engagements remain their property. Rai Nexus uses these solely for the purposes of delivering agreed services and treats them as confidential.
8. Payment Terms
- All fees are denominated in Thai Baht (THB) as stated on the website and in individual engagement agreements.
- Payment schedules, methods, and invoice terms are specified in each engagement agreement.
- Late payments may attract interest charges at the rate specified in the engagement agreement.
- Fees for work completed or materials already delivered are generally non-refundable. Refund eligibility is governed by the specific engagement agreement.
9. Service-Specific Terms
Hospitality Consulting and Workflow Automation Engagements
- Scope changes requested after engagement commencement may be subject to additional fees and timeline adjustment, agreed in writing between both parties.
- Timely delivery depends on the client fulfilling cooperation obligations — providing access, information, and personnel availability as set out in the engagement agreement.
- Deliverables are provided at the engagement's conclusion and do not create an ongoing support obligation unless otherwise agreed.
AI Leadership Roundtable Membership
- Membership applies to a named individual or organization as specified in the membership agreement and is non-transferable.
- Roundtable sessions are scheduled quarterly. Rai Nexus reserves the right to reschedule sessions with reasonable prior notice.
- Members agree to treat all peer discussions as confidential and not share specific details about other members' organizations or strategies outside the group.
- Annual membership fees are due at the start of each membership year.
10. Disclaimers
Website content is provided for general informational purposes and may not always be complete, current, or error-free. Our consulting services are advisory in nature. Rai Nexus does not represent that implementing our recommendations will produce specific business outcomes. Results depend on many factors outside our control, including client implementation, market conditions, and staff engagement.
The website and its content are provided "as is." To the extent permitted by applicable Thai law, Rai Nexus disclaims all implied warranties regarding the website.
11. Limitation of Liability
To the maximum extent permitted by Thai law, Rai Nexus's total liability to any client or website user for any claim arising from the use of our website or services shall not exceed the fees paid by that client for the specific engagement giving rise to the claim.
Rai Nexus shall not be liable for indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
Nothing in these terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded under Thai law.
12. Indemnification
You agree to indemnify and hold harmless Rai Nexus, its directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms or any applicable law, or from your misuse of the website or our services.
13. Termination
Rai Nexus may suspend or terminate access to this website at any time without prior notice. Termination of consulting engagements is governed by the terms of the specific engagement agreement, which will specify conditions, notice periods, and consequences for both parties.
14. Third-Party Links
The website may contain links to third-party websites for convenience. Rai Nexus does not endorse, control, or take responsibility for the content or privacy practices of linked sites. Your use of third-party sites is at your own risk.
15. Dispute Resolution
We encourage informal resolution of any disputes. If a concern arises, please contact us at legal@rainexuvess. We will make a genuine effort to resolve the matter within 30 days of receiving written notice.
If informal resolution is not achieved, disputes shall be governed by the laws of the Kingdom of Thailand and subject to the exclusive jurisdiction of the courts of Phuket Province, Thailand.
16. General Provisions
- Entire Agreement: These Terms, together with any engagement-specific agreement, constitute the entire agreement between the parties regarding the subject matter described herein.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver: Failure by Rai Nexus to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms without prior written consent from Rai Nexus.
- Notices: Formal notices to Rai Nexus should be sent in writing to the address below or by email to legal@rainexuvess.
17. Changes to These Terms
We may update these Terms and Conditions from time to time. Changes will be posted on this page with an updated effective date.
